1. The parties and what this agreement does
This Supplier Agreement (“this agreement”) is between you (the “Creator”) and AOVANCY SRL, a company registered in Romania with Trade Register number J2026042168005, tax ID 55068542, registered office at Aleea Izvorului Oltului nr. 6, bl. 29, sc. B, et. 2, ap. 24, Sector 4, București 041037 (“AOVANCY”, “we”, “us”).
Under it, you give AOVANCY the right to sell copies of your digital products, and AOVANCY pays you a royalty for every copy it sells. It supplements our Terms & Conditions and Privacy Policy. Where they conflict on a matter covered here, this agreement prevails.
You accept this agreement when you choose “We sell for you” in your dashboard, or when you publish a product while it applies to you.
2. Licence to AOVANCY
When you submit a product, you grant AOVANCY a non-exclusive, worldwide licence to reproduce, host, display, market, sell and deliver copies of that product to buyers, and to grant each buyer a personal licence to use the copy they bought.
- Non-exclusive means you may keep selling the product elsewhere.
- You keep ownership of your product and all rights in it. Nothing in this agreement transfers ownership to AOVANCY.
- The licence lasts for as long as the product is listed, and afterwards as far as needed to serve buyers who already bought it.
- AOVANCY does not pay anything upfront and does not buy copies in advance. You earn a royalty only when a copy is actually sold and paid for.
3. AOVANCY is the seller
AOVANCY sells copies of your product in its own name and on its own account.
- Each sale is a contract between the buyer and AOVANCY. You are not a party to it.
- The money buyers pay is AOVANCY’s revenue. Your royalty is a separate amount AOVANCY owes you under this agreement. It is not money held for you.
- AOVANCY runs checkout and delivery, provides buyer support, and is responsible to buyers under consumer law, including refunds and payment disputes.
- AOVANCY shows the product on your storefront and on other pages it chooses, credits you by your creator name as the author, and states that the seller is AOVANCY SRL.
4. Eligibility and identity
You confirm that:
- you are at least 18 years old;
- you supply products to AOVANCY in a professional capacity under this agreement;
- the name, address, country, tax and payment details you give are accurate, match your own identity, and are kept up to date;
- you are not subject to, or owned or controlled by a person subject to, EU, UN, UK or US sanctions.
Before the first royalty payment, you must give AOVANCY your full legal name, address, country of tax residence and a copy of an identity document, plus any tax forms AOVANCY needs under section 7. AOVANCY may hold royalty payments until they are provided.
5. Prices
You propose a retail price for each product. AOVANCY sets the final price: it normally uses your proposal, but may decline it, round it, or adjust it for discounts, promotions, bundles, regional pricing or free-access offers. Your royalty is always calculated on the amount actually collected.
6. Royalty
For each copy sold, AOVANCY pays you a royalty of:
(price collected − card or payment processing cost for that sale) × your royalty rate
- The standard royalty rate is 92.5%. Other rates apply only where shown in your dashboard or agreed with you in writing from an @aovancy.com address.
- The payment processing cost is the fee the payment provider charged on that sale, usually about 1.5% to 4%. It is shown against each sale in your dashboard. AOVANCY keeps none of it.
- No royalty is due on copies AOVANCY gives away free on its own initiative.
- Your dashboard shows every sale: price collected, processing cost, royalty rate and royalty.
7. Paying your royalties
- When royalties become payable. A royalty becomes payable once the sale has passed the holding period shown in your dashboard, which covers early refunds and payment reversals.
- Requesting payment. You may request payment of payable royalties of at least the minimum shown in your dashboard. Smaller amounts carry over, and are always paid when this agreement ends.
- How we pay. By bank transfer, Payoneer, Wise, or another method shown in your dashboard, to an account in your own name.
- Self-billing. You agree that AOVANCY issues the invoice or statement for each royalty payment on your behalf (self-billing). If your country requires you to issue your own invoice, you will do so based on our statement.
- Tax withheld. Where Romanian law requires AOVANCY to withhold income tax or contributions from royalties, AOVANCY withholds them, pays them to the Romanian tax authority, and pays you the rest. Non-residents may qualify for a lower treaty rate by giving AOVANCY a certificate of tax residence from their tax authority, and any other form the law requires, before payment.
- Your own taxes. You are responsible for declaring and paying any tax or contributions due on your royalties in your country.
- Reserves and holds. AOVANCY may delay or keep back part of payable royalties where refund, chargeback or dispute rates on your products are unusually high, where your sales jump suddenly, where fraud is suspected, or where a payment provider holds the proceeds of the sales concerned. The amount, reason and expected release date are shown in your dashboard. A rolling reserve is usually 5% to 10% of royalties, held for up to 180 days from each sale.
- Planned sales increases. If you expect your monthly sales to grow by more than 50%, tell AOVANCY at least 7 days in advance.
8. Refunds and disputes
AOVANCY decides and handles refunds and payment disputes as the seller, under its Withdrawal Policy and consumer law.
- If a sale is refunded, reversed or charged back, no royalty is due on it. If the royalty was already paid, AOVANCY deducts it from your next payments.
- Where a payment provider charges a dispute or refund fee on a sale of your product, AOVANCY may deduct that fee from your royalties.
- If deductions exceed what AOVANCY owes you, the difference is a debt you owe AOVANCY, which it may set off against future royalties.
9. Product rules and warranties
By submitting a product you warrant that:
- you created it or hold all the rights needed to grant the licence in section 2;
- it does not infringe anyone’s rights, including copyright, trademarks and personality rights;
- it complies with the law and with the content rules in our Terms & Conditions and Content Policy, and contains no unlawful, deceptive or harmful content, including earnings claims presented as certain;
- its descriptions, previews and claims are accurate and not misleading, and the product matches them;
- it is free of malware and works as described;
- where it is based on resale or private-label rights (PLR) material, your licence allows it to be sold in this form, and you can show that licence on request;
- trading, investing and other financial content is educational only: no trading signals, no personal investment advice, and no promised returns or income;
- it does not sell or give access to crypto assets or to crypto mining, staking or yield schemes.
Content made with AOVANCY’s AI tools is your content and these warranties apply to it in full.
Because AOVANCY is responsible to buyers for what it sells, you will indemnify AOVANCY against claims, losses and reasonable costs arising from a breach of these warranties. That includes refunds, price reductions and compensation AOVANCY must give buyers because your product did not match its description or was defective, and claims from rights holders.
If you advertise that a product includes future updates, you must provide them. Otherwise AOVANCY may withdraw the product and refund buyers at your cost.
AOVANCY reviews products before listing them and may decline, delist or change how it presents a product, with a statement of reasons. You can appeal through your dashboard.
10. Your status
You supply products to AOVANCY as an independent party. This agreement does not make you an employee, partner or agent of AOVANCY.
11. Data protection
AOVANCY is the controller of the personal data of buyers who buy from it. AOVANCY may share with you a buyer’s name, email and purchase details where needed for you to support them or provide updates you promised. You then act as a separate controller, must use the data only for that purpose, and must not send marketing without a valid lawful basis. AOVANCY processes your own personal data under its Privacy Policy, including for identity checks, tax withholding and reporting.
12. Anti-abuse
You must not buy your own products or arrange purchases to inflate figures or trigger payments, use payment instruments you are not authorised to use, create nominee or multiple accounts, or manipulate reviews, rankings or metrics. AOVANCY may reverse affected sales and royalties, reclaim amounts already paid, withhold payment and end this agreement if you do.
13. Liability
Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, for intentional misconduct or gross negligence, or any other liability that cannot be limited by law. Subject to that:
- AOVANCY does not guarantee any level of sales, visibility or royalties.
- Neither party is liable for indirect or consequential loss, or for lost profits, revenue, data or goodwill.
- AOVANCY’s total liability to you in any 12-month period, other than for royalties properly owed, is limited to the greater of the amount AOVANCY kept from sales of your products in the previous 12 months and EUR 100.
These limits do not reduce royalties owed to you, and do not apply to your indemnities.
14. Term and termination
- This agreement applies until either party ends it.
- You may end it at any time by delisting your products or closing your account. Delisting takes effect within 2 business days.
- AOVANCY may end it with at least 30 days’ notice and reasons, or immediately for repeated breaches, suspected fraud, or where the law or a payment provider requires it.
- On termination AOVANCY stops selling your products and pays all royalties earned, after the deductions in sections 7 and 8. Buyers keep the copies they bought.
- If you move to selling directly through your own payment account, this agreement ends for the products you move, and royalties already earned are paid as usual.
15. Changes
AOVANCY will notify you of changes at least 15 days before they take effect, or longer where you need more time to adapt. During that notice period you may end this agreement with immediate effect. Continuing to supply products after the effective date means you accept the change. Changes required by law may take effect sooner.
16. Law and disputes
This agreement is governed by Romanian law. Disputes go to the competent courts in Romania, unless mandatory law provides otherwise. Before going to court, both parties will first try to resolve the matter through the complaint process in the Terms & Conditions.
17. General
This agreement, the Terms & Conditions and the Privacy Policy are the whole agreement on their subject. If a provision is invalid, including under Regulation (EU) 2019/1150, the rest stays in force. You may not transfer this agreement without AOVANCY’s written consent; AOVANCY may transfer it to an affiliate or a successor on notice. Notices to you go to your dashboard or account email; notices to AOVANCY go to legal@aovancy.com. This agreement is written in English; the English version prevails over any translation.
